Terms of Service

VoiceDepot is a service of AppsTango LLC, a Utah limited liability company. These Terms cover everything you need to know about your relationship with VoiceDepot. They are written in plain English so that real businesses can read them.

Draft pending attorney review. These terms are based on standard industry templates and have not yet been reviewed by counsel admitted to your jurisdiction. Do not rely on this document as legal advice.

1. Agreement

These Terms of Service ("Terms") form a binding legal agreement between you ("Customer", "you") and AppsTango LLC, a Utah limited liability company doing business as VoiceDepot ("VoiceDepot", "we", "us"). By creating an account, starting a free trial, completing checkout, or placing or receiving any call routed through the Service, you accept these Terms. If you act on behalf of a business, you represent that you have authority to bind that business.

2. The Service

VoiceDepot provides an AI voice receptionist that answers inbound telephone calls on a phone number you forward to us, captures caller details, sends you SMS lead notifications, optionally books appointments, and routes calls based on rules you configure. Optional add-on agents (Calendar Agent, Spanish Receptionist, Local SEO Agent, AEO Agent, Growth Bundle) extend the core Service. We may add, modify or remove features at any time; material reductions to paid functionality will be communicated with 30 days' notice.

3. Eligibility & Account

You must be 18 or older and legally capable of entering contracts. You must keep account information accurate and your password secret. You are responsible for all activity under your account. Notify us immediately at hello@voicedepot.cloud if you suspect unauthorized access.

4. Subscription, Auto-Renewal & Billing

Plans are billed monthly in advance via Stripe and AUTO-RENEW each month at the then-current price until you cancel.

Annual plans are billed once per year at a 2-months-free discount and auto-renew annually. We will email you a renewal reminder 7-30 days before each annual renewal at the email address on file.

California residents: in compliance with California Business and Professions Code §§ 17600-17606, you have the right to cancel at any time without penalty by clicking "Cancel" in /portal/billing or by emailing hello@voicedepot.cloud.

Payment failures trigger a 7-day grace period; unresolved failures may result in suspension. All fees are exclusive of taxes.

5. Free Trial & Refunds

Eligible accounts receive a 14-day free trial with no payment due at signup. After 14 days you will be charged the plan price unless you cancel. Paid subscriptions carry a 30-day money-back guarantee on the first paid billing period — request a refund at hello@voicedepot.cloud. After 30 days, no partial-period refunds except where required by law.

6. Cancellation

You may cancel from /portal/billing at any time with one click. Cancellation takes effect at the end of your current billing period; you retain access through that date. Provisioned phone numbers may be released back to the carrier 30 days after cancellation.

7. Acceptable Use

Your use of the Service is governed by our Acceptable Use Policy at voicedepot.cloud/aup, which is incorporated into these Terms by reference. Violations may result in suspension or termination without refund.

8. Outbound Communications

You represent that any outbound calls or SMS the Service initiates to a third party at your direction are made only to recipients who have provided prior express written consent under the TCPA, are existing customers of your business, or fall within an established business relationship exemption. You shall not use the Service to initiate calls or SMS to numbers on the National Do Not Call Registry absent the foregoing exemptions. Sending unsolicited bulk SMS or making outbound calls to leads without consent is prohibited and may trigger immediate suspension under Section 16.

9. Recording & TCPA Compliance

9.1 Customer Responsibility. You are solely responsible for ensuring that all telephone calls handled by the Service comply with the Telephone Consumer Protection Act (47 U.S.C. § 227) and any applicable state wiretapping or call recording statutes. VoiceDepot does not provide legal advice regarding TCPA compliance.

9.2 Disclosure Requirement. You agree to maintain a legally sufficient disclosure to callers that their call may be recorded and handled by an AI assistant. The Service automatically prepends the disclosure "This call may be recorded and is being handled by an AI assistant" to inbound calls originating in two-party-consent states; you may not disable this disclosure.

9.3 Two-Party Consent States. Twelve states currently require all-party consent for call recording: California, Connecticut, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, Washington. You warrant that you have consulted legal counsel regarding compliance in all states where you receive calls.

9.4 Audit Log. VoiceDepot maintains a per-call audit log confirming that the AI disclosure was delivered. You may access this log through the portal.

10. AI Disclosure

10.1 You acknowledge that callers will interact with an AI-powered voice assistant, not a human employee. You agree to maintain the built-in AI disclosure enabled at all times. Disabling or circumventing the AI disclosure is a material breach of this Agreement.

10.2 The default system prompt requires the AI to identify itself as an AI assistant if directly asked by a caller. You may not modify the system prompt to instruct the AI to represent itself as a human.

10.3 The Federal Trade Commission's regulations on deceptive trade practices (16 C.F.R. Part 255) and emerging state AI disclosure laws (including California SB-1001 and Utah's Artificial Intelligence Policy Act) apply to your use of the Service. You are responsible for compliance.

11. No Earnings Guarantee

VOICEDEPOT MAKES NO REPRESENTATIONS OR WARRANTIES THAT USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR REVENUE, BOOKING RATE, LEAD GENERATION OR OTHER BUSINESS OUTCOME. Any case studies, testimonials, or statistics on our website represent results achieved by specific customers under specific conditions and are not guarantees of similar outcomes. Nothing in our marketing constitutes a representation of typical or expected results as defined under FTC Section 5.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOICEDEPOT'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT.

12.2 TCPA Carve-Out. The cap in 12.1 does not apply to claims arising from your TCPA violations, recording-law violations, or misuse of the Service in violation of Section 9. You expressly agree to indemnify VoiceDepot against such claims pursuant to Section 14.

12.3 No Consequential Damages. NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. AI Accuracy

13.1 No Warranty. The AI receptionist is a probabilistic language model. We do not warrant that the AI will provide accurate, complete or up-to-date information on any topic, including your own business information.

13.2 High-Stakes Decisions. You agree not to rely on the AI's outputs for decisions involving legal, medical, financial or safety-critical matters where accuracy is material. You shall not configure the Service to provide legally binding quotes, medical diagnoses, or safety assessments.

13.3 Knowledge Base Currency. The AI's knowledge of your business is limited to information you enter in the training knowledge base; you are responsible for keeping it current.

13.4 No Emergency Routing. The Service is not designed for and shall not be used as a substitute for emergency services (911, poison control, suicide hotlines). You shall configure call flows to route emergency calls to appropriate human-staffed services.

13.5 No Medical or Legal Advice. The AI shall not provide medical diagnoses, prescription guidance or specific legal advice. You are responsible for ensuring AI prompts do not solicit such requests.

13.6 No Voice-Channel Payments. The Service does not capture credit card or payment data over the voice channel. Customers requiring payment collection must use a separate compliant payment portal.

14. Indemnification

14.1 You shall indemnify, defend and hold harmless VoiceDepot and its officers, directors, employees and agents from any claims, damages, losses, penalties, fines or expenses (including reasonable attorneys' fees) arising from: (a) your violation of any TCPA, state wiretapping or call recording law; (b) your failure to obtain required consents from callers; (c) your modification of system prompts in violation of Section 10; (d) your use of the Service in any illegal, deceptive or unfair business practice; (e) any third-party claim (including from callers) arising from content you entered in your training knowledge base.

14.2 We will indemnify you against third-party intellectual-property infringement claims arising solely from VoiceDepot's underlying platform technology (excluding your content).

15. Data & Privacy

Our handling of your data and your callers' data is governed by our Privacy Policy at voicedepot.cloud/privacy. We do not sell your data, do not use your call recordings to train third-party AI models, and retain call recordings and transcripts for 90 days by default.

16. Suspension & Termination

16.1 We may suspend your account immediately and without notice if we reasonably believe: (a) the account has generated TCPA complaints, regulatory inquiries or carrier complaints; (b) usage violates any applicable law; (c) the account poses legal risk to VoiceDepot or other customers; (d) the AI disclosure has been disabled in violation of Section 10.

16.2 No Cure Period for Regulatory Risk. We may suspend without providing a cure opportunity for violations of Sections 9, 10 or 14 where immediate action is required to prevent regulatory harm.

16.3 Refunds on Suspension. If we suspend your account without cause, we will refund the pro-rated unused portion of any prepaid fees. Suspensions for cause described in 16.1 are not entitled to a refund.

17. Voice Cloning Prohibition

You shall not upload, train, or deploy any voice that imitates a specific identifiable person without that person's prior written consent. You shall not configure the Service to impersonate a real individual, deceased person, or public figure. Violations are grounds for immediate termination without refund and may be reported to applicable authorities under state biometric laws (including BIPA in Illinois).

18. Governing Law & Disputes

These Terms are governed by the laws of the State of Utah without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association in Salt Lake County, Utah, except that either party may seek injunctive relief in court for IP infringement or breaches of confidentiality. You waive any right to participate in a class action.

19. Changes

We may revise these Terms from time to time. We will post the revised Terms at this URL and update the "Effective" date. Material changes will be communicated via email at least 30 days in advance. Continued use after the effective date constitutes acceptance.
